Terms of Service

"Service"

— The Motivation Form platform, including form.gold, app.form.gold, docs.form.gold, the dashboard, API, CLI, MCP server, and all related software and documentation.

"You" / "Form Owner"

— The natural or legal person that registers an account or otherwise uses the Service. If acting on behalf of an organization, you represent that you have authority to bind it.

"Respondent"

— Any person who opens or submits a form hosted on the Service.

"Response Data"

— Content submitted by a Respondent through a form, including answers, file uploads, optional metadata (IP, user-agent, referrer), and any personal information therein.

"Agent"

— An automated system (e.g., an AI coding assistant) acting on Your behalf using Your API key. You are responsible for all actions taken by Your Agents.

"Subprocessor"

— A third-party service we use to deliver the Service, listed in our Privacy Policy.

By creating an account, deploying a form, calling our API, or otherwise using the Service, You agree to these Terms, our Privacy Policy, our Acceptable Use Policy (Section 6), and, where applicable, our Data Processing Agreement.

You must be at least 18 years old and capable of forming a binding contract. The Service is not offered in jurisdictions where its use would be unlawful.

You retain all right, title, and interest in Form Owner Content and Response Data. You grant Motivation Labs a worldwide, non-exclusive, royalty-free, sublicensable (to Subprocessors only) license to host, store, transmit, render, copy (for backup), reformat, and display Form Owner Content and Response Data solely as needed to operate the Service. The license terminates when the underlying content is deleted.

You are solely responsible for: the legality and appropriateness of Form Owner Content; the legality of collecting and using Response Data, including obtaining required consent from Respondents; and compliance with applicable privacy law (GDPR, UK GDPR, CCPA/CPRA, PIPL, LGPD, and others) for the data You collect.

You may not use the Service to:

1. Collect personal information from children under 13 without verifiable parental consent and a lawful basis.
2. Collect health, biometric, financial-account, government-ID, or other sensitive data without a lawful basis and clear disclosure to Respondents.
3. Impersonate persons or organizations, or run forms designed to deceive Respondents about the operator's identity.
4. Use the Service in any manner that violates GDPR, UK GDPR, CCPA/CPRA, PIPL, LGPD, or any applicable privacy law.
5. Send bulk unsolicited messages using Response Data.
6. Resell, sublicense, or rebrand the Service as Your own SaaS offering without a written commercial agreement.
7. Reverse-engineer or decompile the Service except as required by law.
8. Probe, scan, or test the vulnerability of the Service without written authorization, or interfere with security or authentication mechanisms.
9. Submit traffic patterns intended to cause denial of service, exceed rate limits, or impair the Service for other users.
10. Host content that is unlawful, infringing, defamatory, harassing, or that depicts the sexual exploitation of minors.
11. Distribute malware, phishing pages, or links to either via forms or file uploads.
12. Use the Service in violation of U.S., EU, UK, or applicable export-control or economic-sanctions laws.

1. Grace buffer. Up to 100 additional responses are accepted past the limit so Respondents do not encounter a “form closed” error.
2. Locked status. Grace-buffer responses are stored but withheld from the Form Owner — excluded from the dashboard, exports, and statistics — until credits are added to unlock them. Locked responses do not roll into the next month's free tier.
3. Form-paused state. Once the grace buffer is exhausted, the public form page displays a “temporarily paused” notice and accepts no further responses.
4. Notifications. Escalating emails sent: at the credit limit, at 50 grace responses consumed, and at exhaustion (with the deletion deadline).
5. Permanent deletion at 90 days. Locked responses are permanently deleted 90 days after collection if not unlocked. Motivation Labs is not liable for data lost due to Your failure to add credits within the 90-day window. Deletion is irrevocable.
6. Resumption. Adding credits unlocks all locked responses immediately and resumes the Service.

Our Privacy Policy describes how we collect and use personal information. For data You collect through Your forms, You are the data controller and we are Your processor. If GDPR, UK GDPR, CCPA/CPRA, or similar laws apply, our Data Processing Agreement (“DPA”) applies — available at docs.form.gold/legal/dpa. To execute a counter-signed DPA, email form@motivationlabs.ai.

You represent that You have provided Respondents with all notices and obtained all consents required for the Response Data You collect.

The Service, including software, APIs, MCP server, CLI, Documentation, branding, and the look and feel of form.gold, is owned by Motivation Labs and protected by intellectual-property laws. We grant You a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

“Motivation Form,” “Motivation Labs,” and form.gold are our marks. You may not use them without prior written permission, except in factual references that do not imply endorsement.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTIVATION LABS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NO SLA IS OFFERED DURING THE BETA / MVP PHASE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA.

Motivation Labs' aggregate liability will not exceed the greater of (a) fees paid in the 12 months preceding the event or (b) $100. Motivation Labs is not liable for data loss from failure to add credits within the 90-day locked-response window, losses from lost or compromised API keys, or Subprocessor failures.

You will defend, indemnify, and hold harmless Motivation Labs from any third-party claim arising from: Your or Your Respondents' content; Your violation of these Terms or applicable law; Your violation of any third-party right including privacy and intellectual property; or use of the Service by Your Agents in violation of these Terms.

These Terms are governed by the laws of the State of Wyoming, U.S.A., without regard to conflict-of-laws principles.

Binding arbitration: Disputes not resolved informally shall be resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules. Seat: Cheyenne, Wyoming. Single arbitrator. Each party bears its own fees (consumer claims under $10,000: we pay AAA fees as required by Consumer Rules).

CLASS-ACTION WAIVER: THE PARTIES AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING A CLAIM AS A CLASS MEMBER IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Opt-out: You may opt out of arbitration by emailing form@motivationlabs.ai with subject “Arbitration Opt-Out” within 30 days of first acceptance. Claims must be brought within one (1) year after accrual.

Entire agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, User Agreements, and any executed DPA or order form, constitute the entire agreement between the parties.

Order of precedence: (1) signed order form, (2) DPA, (3) these Terms, (4) Privacy Policy and User Agreements, (5) Documentation.

Updates: We may update these Terms with a revised “Last Updated” date and, for material changes, at least 30 days' email notice. Continued use after the effective date constitutes acceptance.

Force majeure: Neither party is liable for delay caused by events beyond its reasonable control. Payment obligations are not excused.
